Terms of Use
These Terms of Use (the "Terms") set forth the conditions for using AGI Labo (https://agi-labo.com/), an online media service focused on AI and AGI, and AGI Wings, a platform feature provided in connection with AGI Labo (collectively, the "Service"), operated by tempi, Inc. ("Company," "we," "us," or "our"). Every person who uses the Service ("User") must use it only after agreeing to these Terms.
1. Definition of the Service
The Service is an online media service that provides news, commentary, articles, courses, community features, and related information about AI and AGI. It also includes AGI Wings, a platform feature that automatically executes code created by Users ("Handlers").
- The Service includes content available free of charge and content for paid members.
- We may change the content, name, specifications, or delivery method of the Service as necessary.
- We may provide email notifications and other communication features in connection with the Service.
- AGI Wings is also governed by Section 6 and the Privacy Policy.
2. Accounts and Membership Registration
2.1
Users may access all or part of the Service by registering for membership and creating an account in the manner specified by the Company.
2.2
Users must provide true, accurate, and current registration information and keep that information up to date.
2.3
Users are responsible for managing their account information and must not allow a third party to use it or lend, transfer, rename, sell, or purchase an account.
2.4
We may reject a registration, suspend an account, or delete an account if registration information is false, inaccurate, or incomplete, if a User violates these Terms, or if we otherwise determine that the account is inappropriate.
2.5
Our handling of personal information is governed by the Privacy Policy, to which Users agree.
3. Paid Membership Plans, Payment, and Cancellation
3.1
The Service includes monthly and annual paid membership plans. Plan details, prices, available features, and billing cycles are displayed by the Company or on the payment screen.
3.2
Payments for paid membership plans are processed through Stripe or another payment provider designated by the Company. Users must provide accurate payment information and make payments at their own cost and responsibility.
3.3
A paid membership plan may renew automatically for each billing period unless the User cancels it through the prescribed method. Whether and when a plan renews and all other billing conditions are governed by the information shown at enrollment or by Stripe.
3.4
Users may cancel at any time through the method specified by the Company. Cancellation does not release a User from charges already incurred, and paid fees are nonrefundable except where a refund is required by law.
3.5
We may change the price or content of a paid membership plan as necessary. We will give Users advance notice of such a change through a reasonable method.
4. Permitted Use of Content
Copyright and all other intellectual property rights in articles, images, logos, designs, databases, email notification text, and all other content provided through the Service belong to the Company or a third party with lawful rights in that content.
- Users may view and use content from the Service for personal use.
- Without our prior written or electronic consent, Users must not reproduce, copy, distribute, publicly transmit, modify, sell, publish, scrape, or make any similar use of articles or other content.
- Users must not share, display, redistribute, or provide access to paid-member content to anyone other than the member.
- Quotations must comply with copyright law and other applicable laws, identify the source, and otherwise be made appropriately.
5. Prohibited Conduct
Users must not engage in any of the following conduct when using the Service:
- Violating laws, regulations, or public order and morals
- Engaging in or facilitating criminal activity
- Infringing the rights, interests, reputation, credibility, or privacy of the Company, another User, or a third party
- Interfering or threatening to interfere with operation of the Service
- Unauthorized access, excessive load, scraping, crawling, bot use, or other conduct that interferes with normal delivery of the Service
- Reselling, sublicensing, or redistributing content or paid-member features to a third party
- Registering false information, improperly creating or holding multiple accounts, or impersonating another person
- Misusing email notification features or improperly reproducing, forwarding, or redistributing delivered information
- Providing benefits to organized crime groups or engaging in related conduct
- Any of the following conduct involving AGI Wings:
- Using a Handler to conduct DDoS, brute-force, or other attacks against another service
- Using a Handler to send spam or distribute or direct others to phishing or malware
- Improperly obtaining, storing, or using another person's credentials, personal information, or confidential information
- Using a Handler primarily to mine cryptocurrency or consume computing resources
- Intentionally imposing excessive load on our execution environment, an external service, or third-party equipment
- Any other conduct that we determine to be inappropriate
6. Special Provisions for AGI Wings
6.1 Overview
AGI Wings is a platform feature that automatically executes User-created Handlers on a schedule specified by the Company or in response to manual execution. Users may create connections to supported external services ("Connections") and cause a Handler to issue API requests to those services.
6.2 Subscription Requirement
AGI Wings requires a paid subscription designated by the Company. If a subscription is canceled or payment cannot be confirmed, we may stop automatic Handler execution. User data will be retained for the period described in Section 6.6.
6.3 Disclaimer for Code Execution
- A Handler is created by a User or obtained from a third party and configured at the User's responsibility. We do not guarantee its operation, results, or effects on external services.
- Except in cases of our willful misconduct or gross negligence, we are not liable if execution of a Handler causes deletion, modification, disclosure, or any other effect on data held by a User or third party on an external service.
- Except in cases of our willful misconduct or gross negligence, we are not liable for failed or delayed Handler execution caused by a cloud platform outage, specification change, discontinuation, or another circumstance beyond our reasonable control.
- If Handler output is used for a business decision, automated transaction, safety control, or another purpose that materially affects a User or third party, the User is solely responsible for the decision and its result.
6.4 Fair Use and Rate Limits
- The minimum interval for scheduled execution is one minute. We may change this interval when operationally necessary.
- We may impose reasonable limits on each User's number of Handlers, triggers, Connections, executions, and other resource use.
- We may suspend, restrict, or take other necessary action without prior notice against use that imposes an abnormal load on our execution environment compared with ordinary use.
6.5 Suspension and Deletion of Handlers
If we reasonably determine that any of the following applies, we may suspend Handler execution, delete a Handler or Connection, or otherwise restrict use of the Service without prior notice:
- A violation or reasonable suspicion of a violation of Section 5
- A violation or reasonable suspicion of a violation of these Terms, applicable law, or public order and morals
- Actual or threatened material adverse effects on our execution environment or third-party equipment
- Any other circumstance in which we determine action is necessary for safe and appropriate operation of the Service
When we take such action, we will endeavor to notify the User of the action to a reasonable extent. If the matter is urgent or another reasonable ground exists, notice may be given after the action.
6.6 Data Retention and Deletion
- If a User cancels a subscription, we will stop automatic Handler execution but may retain Handlers, Connections, execution history, and related data until the earlier of the User's next login or 30 days after cancellation to facilitate re-enrollment.
- If a User closes their Service account, we will delete all Handlers, Connections, execution history, and other AGI Wings data associated with that User within 30 days after account closure.
- We may retain the minimum necessary portion of data despite the preceding provisions when required by law or for another reasonable purpose.
7. Changes, Suspension, and Discontinuation
We may change, suspend, or discontinue all or part of the Service without prior notice due to system maintenance, incident response, suspension of an external integration, network failure, natural disaster, or another circumstance.
- We may review features and service conditions to improve quality or meet operational needs.
- Except in cases of our willful misconduct or gross negligence, we are not liable for damages caused by such action.
8. Disclaimers and Limitation of Liability
We make no warranty regarding the accuracy, completeness, usefulness, fitness for a particular purpose, currency, continuous availability, or any other aspect of information posted or delivered through the Service.
- Information on the Service is provided for general informational purposes and does not constitute investment, legal, tax, accounting, or other professional advice.
- Users use the Service at their own judgment and responsibility. Except in cases of our willful misconduct or gross negligence, we are not liable for damages arising from use or inability to use the Service.
- If we are liable, our liability for ordinary negligence is limited to the total fees actually paid by the User to the Company during the 12 months preceding and including the month in which the damage occurred. This limitation does not apply where prohibited by the Consumer Contract Act of Japan or other applicable law.
9. Governing Law and Jurisdiction
These Terms and all matters relating to the Service are governed by the laws of Japan. The Tokyo District Court has exclusive jurisdiction as the court of first instance over all disputes between the Company and a User arising out of or relating to these Terms or the Service.
10. Changes to These Terms
We may change these Terms when laws or the Service change, when operationally necessary, or for another reasonable cause.
- We will announce the amended terms and their effective date by posting them on the Service or through another method we consider appropriate.
- A User is deemed to have agreed to the amended Terms if the User uses the Service after the effective date or does not cancel within the prescribed period.
